Applied Digital Corporation (the “Company”) has determined that it is unable to file the Form 10-K for the year ended May 31, 2024 (the “Form 10-K”) within the prescribed time period without unreasonable effort or expense because the Company requires additional time for compilation and review to ensure adequate disclosure of certain information required to be included in the Form 10-K. 
 
The Company intends to file the Form 10-K within the fifteen-day grace period provided by Rule 12b-25.
